The Board of Directors will remain in office until the approval of the financial statements for the year ending 31 December 2022.
Born in Milan, Filippo Menchelli started his career as administrative manager for the pharmaceutical group Inalco (based in Milan), taking care of the production plants and research centres in Tuscany from 2002 to 2012. From 2012 he started his collaboration with the Issuer as Administrative Manager of the companies Tecnomar S.p.A. and Nuovi Cantieri Apuania S.p.A. In 2014 he was promoted to the role of Chief Financial Officer and head of the legal affairs department. Since 2017 Filippo Menchelli has been a Director of the Issuer and in December 2018 he was also entrusted
with the role of employer pursuant to Law no. 81/2008.
Born in Taranto, in 1982 he began his career as an entrepreneur in the building and custom-made furniture sector. In 1997, he joined the multinational company NATUZZI S.p.A: where for 11 years, until mid-2008, he contributed to the growth of the group in the role of general manager taking care of many business functions. In 2009 Giovanni Costantino started his own activity in the shipbuilding industry with the purchase, through the company The Italian Sea Group S.r.l. of which he was 40% shareholder, of Tecnomar S.p.A., where he held the position of Chairman of the Board of Directors. In 2011, under his chairmanship, Tecnomar S.p.A. acquired the ADMIRAL brand. In 2012, in response to the growing market demand for large yachts, following the acquisition of Nuovi Cantieri Apuania S.p.A., he was appointed Chairman of the Board of Directors of the Company. As of the date of this Offering Circular, he serves as Vice Chairman of the Board of Directors. In December 2019, Giovanni Costantino acquired 100% of the shares of the company GC Holding, formerly The Italian Sea Group S.r.l., company that owns 100% of the shares of the Issuer (formerly Nuovi Cantieri Apuania S.p.A.). He has been appointed Chairman of the Nautical Commission of Confindustria Toscana.
Born in Florence, Marco Carniani is The Italian Sea Group’s Chief Financial Officer and has worked for nine years in the Company. After graduating in Economics from the University of Florence, Mr. Carniani has developed a significant experience in the field of auditing and corporate finance, working for leading international advisory firms. In particular, from 2006 to 2009 he has worked as an Auditor and, subsequently, Senior Auditor for Deloitte and Touche S.p.A. Between 2009 and 2014 he worked as a Manager for BDO.
Born in Mercato San Severino (Salerno), Gianmaria Costantino graduated in International Economics and Finance obtained from Bocconi University in Milan. He has gained professional experience in the financial field, before being involved in TISG’s IPO process. Already Chairman of the Board of GC Holding S.p.A., TISG’s majority shareholder, he has collaborated with the Company management on strategic-commercial projects, thus gaining a transversal knowledge of the business.
Born in Milan, Massimo Bianchi graduated in business administration from Bocconi University of Milan, has been a qualified chartered accountant since 1979, and is registered as a certified auditor. For more than twenty years, he was a partner in leading auditing firms such as Arthur Andersen and Deloitte&Touche and during that period held positions as Chairman and Director of numerous companies. Massimo Bianchi has held offices at, inter alia, the Adecco Group, Banco di Napoli, Banca Ravenna, Banca dell’Adriatico and Fideuram S.p.A. He is currently Chairman of the Boards of Statutory Auditors as well as of supervisory bodies in several companies. Through his own firm, he provides business consultancy services on strategy, management and organization of business processes; he also carries out company valuation activities and issues sworn expert reports. Massimo Bianchi is also the author of technical publications and articles on economic and financial matters, as well as holding conferences and teaching activities.
Born in Civitavecchia, Ms Alfonsi graduated in law at the University of Rome “La Sapienza” and has a Master Degree (LLM) in Corporate and Commercial Law from University College London, London. As lawyer she has focused his educational preparation and professional experience in the field of corporate law, M&A and commercial law, and has developed a particular expertise in the field of corporate governance. Ms. Alfonsi has also participated as speaker in numerous conferences and events mainly dealing with corporate governance, corporate law and regulatory compliance (including in the banking and financial sector). Since 2007, Ms Alfonsi has been managing partner of Studio Legale Associato – Deloitte up until 2018. She is a member of various Boards of Statutory Auditors and Supervisory Bodies of leading companies.

Born in Turin, Ms Tesio graduated in economics from the University of Turin and has been a chartered accountant and auditor since 2001. From 1998 to 2008 she worked with Studio Dante & Associati in Turin. From 2008 to 2009 she worked as a tax and corporate consultant for the Fenera Holding group. Since 2009, Ms.Tesio has been a partner in WTC Corporate Advisors Dottori Commercialisti, where she provides corporate and tax consultancy; she also works as of counsel at Studio Dante & Associati in Turin. She specialises in auditing commercial entities and non-profit organisations, as well as business valuations in the context of M&A transactions, technical office consultancy and extraordinary transactions. Finally, Dr Tesio collaborates with the Luiss Enlabs incubator and Lventure S.p.A., as well as with the study groups “Fisco e Sport” and “Enti no Profit”, at the Association of Chartered Accountants of Turin.
